Terms

How we work together.

The version you can read in five minutes. A signed engagement agreement covers each piece of work — if the two ever disagree, the signed agreement wins.

Who you are contracting with

Build PX Pty Ltd, trading as Lynchpin (ABN 29 673 922 364), of Gold Coast, Queensland. Throughout these terms, “we” and “us” means us; “you” means the business engaging us.

What is included

The call and the pitch

Free, and there is no obligation attached to either. Nothing is owed unless you sign an engagement agreement.

The Analysis

About two weeks, priced to the size of the business and agreed in writing before it starts. It produces a current-state review, the free wins, and a prioritised plan.

About two weeks assumes you make people available. If interviews cannot be scheduled inside the window, the delivery date moves accordingly. We will tell you as soon as we can see that happening rather than at the end.

Builds, training and Support

Scoped and quoted individually. Nothing starts without a written scope and your acceptance of it.

Money

  • All prices are in Australian dollars and exclude GST
  • The Analysis is payable before it starts
  • Builds under $30,000: half on signing, half on completion
  • Builds over $30,000: by milestone, billed on your approval of each
  • Support: monthly in advance, month to month, no lock-in
  • Invoices are due 14 days from issue
  • Third-party software, licences and subscriptions are yours to pay for. We will tell you what they cost before you commit

What you agree to do

The work does not function without this, so it is stated plainly:

  • Make the right people available for interviews and testing
  • Give us access to the systems we need, and tell us where the boundaries are
  • Tell us what is actually happening, including the awkward parts
  • Respond to decisions inside a reasonable time
  • Keep your own backups. We are not your backup

Who owns what

  • Your data is yours. Always, including everything we produce from it
  • What we build for you is yours on final payment — documentation, configurations and process documents included
  • Our methods, templates and tooling stay ours. The approach we bring is reused across clients. Anything specific to your business is not
  • You will not be named as a client, a case study or a testimonial without your written agreement

Confidentiality

We will see how your business actually works, including financial and staffing information. We keep it confidential during the engagement and afterwards, and we only look at what the work requires.

Where a subcontractor is involved, they are bound by the same obligations. They do not see your data without your written agreement — by default they work on templates, tooling and our own systems.

What we will not build

This is a term, not a slogan. We will decline, and refund unstarted work, rather than build:

  • Anything designed to mislead, create false urgency, or pressure someone into a decision
  • A cancellation process harder than the sign-up process it mirrors
  • Anything targeting a person’s distress, age, addiction or financial difficulty
  • Systems making final decisions on hiring, credit, tenancy or pricing without a person who can explain and override them

Anything legal, ethical or financial keeps a human approval step.We will not remove it at your request. If that is a problem, we are the wrong firm and it is better to find that out early.

What we are not

We are not your lawyer, accountant, tax agent or licensed adviser. Compliance content on this site and in our deliverables is general information about how obligations work operationally —not legal or financial advice. Whether an obligation applies to you, and how, is a question for a qualified adviser, and we will say so rather than guess.

We can build the systems that help you meet an obligation and evidence that you did. We cannot certify that you have met it, and nobody who says otherwise should be believed.

Liability

Our liability for any engagement is limited to the fees you paid us for that engagement. We are not liable for indirect or consequential loss, including lost profits or lost opportunity.

Nothing here excludes rights you have under the Australian Consumer Law that cannot lawfully be excluded. Where we are permitted to limit liability under that law, we limit it to resupplying the services or paying the cost of resupply.

Stopping

  • Support: either of us can end it with 30 days’ notice, for any reason
  • A build: you can stop it at any point. You pay for work completed to that date, and you keep it
  • The Analysis: once started it is not refundable, because the work is front-loaded. Before it starts, it is refundable in full
  • We may end an engagement if the terms above are not met, or if we are asked to build something in the list we will not build

Disputes

Raise it with us first — emailkate@thelynchpin.ai and we will respond within five business days. Most things are a misunderstanding and get fixed in a conversation. If that fails, we will attempt mediation before either of us starts proceedings.

These terms are governed by the laws of Queensland, Australia.

These are our standard terms, written to be understood. They are not legal advice to you, and you are welcome to have your own adviser look at the engagement agreement before you sign it. We would think better of you for it.
